This Crypto User Policy (the "Policy") constitutes a legally binding agreement between you ("User," "you," or "your") and Virtual365, Inc. ("Virtual365," "Company," "we," "our," or "us") governing your use of the Virtual365 cryptocurrency token ($VCON), associated wallet functionality, and all token-related features within the Virtual365 platform (the "Platform"). This Policy is incorporated by reference into the Virtual365 Terms of Service.
1.1 Non-Money Services Business Status
IMPORTANT DISCLAIMER: Virtual365 is not a Money Services Business ("MSB"), money transmitter, financial institution, or financial service provider as defined by the Financial Crimes Enforcement Network ("FinCEN") regulations, the Bank Secrecy Act, or state money transmitter laws. Virtual365 operates solely as a technology platform provider that enables Users to engage with the $VCON utility token within the Platform ecosystem.
1.2 Non-Investment Status
IMPORTANT DISCLAIMER: $VCON tokens are utility tokens designed exclusively for use within the Virtual365 Platform. $VCON tokens:
Are NOT securities, investment products, or financial instruments
Are NOT offered as an investment opportunity
Do NOT represent ownership, equity, shares, or rights in Virtual365
Do NOT entitle holders to any future profits, dividends, or revenue sharing
Are NOT marketed or sold as an investment
Have NO guaranteed monetary value or guaranteed liquidity
Should NOT be purchased with an expectation of profit or financial return
Users acknowledge that they are acquiring $VCON tokens solely for their utility within the Platform and not for investment, speculative, or financial purposes.
2. DEFINITIONS
2.1 "$VCON" or "Token" refers to the native utility token of the Virtual365 platform, which functions exclusively as a means to access and utilize features within the Platform.
2.2 "Wallet" refers to the digital wallet functionality integrated within the Platform that enables storage and transactions of $VCON tokens.
2.3 "User" refers to any individual or entity that accesses or uses the Platform and interacts with $VCON tokens.
2.4 "Platform" refers to the Virtual365 social livestreaming platform, including its website, mobile application, and related services.
2.5 "Utility" refers to the functional use of $VCON tokens within the Platform to access features, participate in activities, or obtain digital goods or services.
3. TOKEN NATURE AND PURPOSE
3.1 Utility Token Status
$VCON is a utility token designed exclusively to facilitate access to and use of services within the Platform. The sole purpose of $VCON is to provide Users with a means to:
Tip content creators
Purchase virtual goods and premium features
Access exclusive content and events
Participate in community activities
Support creators and communities
3.2 No Financial Purpose
$VCON tokens are not designed, marketed, sold, or intended to be used as:
An investment vehicle
A security
A commodity
A financial instrument
A substitute for currency outside the Platform
A store of value
A medium of exchange outside the Platform ecosystem
3.3 No Monetary Value Guarantee
$VCON tokens have no guaranteed cash or monetary value. The value of $VCON may fluctuate significantly and could potentially become worthless. Virtual365 makes no representations or warranties regarding the value, liquidity, or future prospects of $VCON.
4. RISK ACKNOWLEDGMENT
By using $VCON tokens, you expressly acknowledge and agree that:
4.1 You are acquiring and using $VCON tokens solely for their utility within the Platform.
4.2 You are not purchasing $VCON tokens as an investment or with an expectation of profit.
4.3 The regulatory status of cryptographic tokens, digital assets, and blockchain technology is unclear or unsettled in many jurisdictions.
4.4 $VCON tokens involve significant risks, including but not limited to technical, operational, and regulatory risks.
4.5 You are solely responsible for determining the nature, potential value, suitability, and appropriateness of these risks for yourself.
4.6 Virtual365 does not advise on token trading or investment matters and no communication from us should be treated as such.
4.7 You understand and accept all risks associated with the use of $VCON tokens.
5. TOKEN ACQUISITION AND USAGE
5.1 Acquisition Methods
$VCON tokens may be acquired through:
Direct purchase through the Platform
Rewards earned through Platform activities
Transfers from other Users
Promotional distributions by Virtual365
5.2 Permitted Uses
$VCON tokens may be used exclusively for:
Tipping content creators
Purchasing virtual goods and premium features
Accessing exclusive content and events
Participating in community activities
Other functions as determined by Virtual365 from time to time
5.3 Restrictions
You agree not to use $VCON tokens:

6. WALLET TERMS
6.1 Wallet Provision
Virtual365 provides an integrated wallet for storing and transacting $VCON tokens. By using the wallet, you acknowledge and agree that:
You are solely responsible for maintaining the security of your wallet credentials
Virtual365 does not store or have access to your private keys or recovery phrases
Loss of your private keys or recovery phrases may result in irreversible loss of access to your $VCON tokens
Virtual365 cannot recover or reset your wallet credentials
6.2 Security Obligations
You agree to:
Implement and maintain appropriate security measures to protect your wallet credentials
Keep your recovery phrase in a secure location
Enable additional security features when available, such as two-factor authentication
Regularly monitor your wallet for unauthorized activities
Immediately notify Virtual365 of any suspected security breach related to your wallet
7. TRANSACTIONS
7.1 Transaction Finality
All transactions involving $VCON tokens are irreversible once confirmed. Virtual365 cannot reverse, cancel, or refund transactions after they are confirmed.
7.2 Transaction Fees
Transactions involving $VCON tokens may be subject to:
Platform fees as specified in our fee schedule
Third-party fees when using external services
7.3 Transaction Limits
Virtual365 reserves the right to impose transaction limits, including but not limited to:
Minimum and maximum purchase amounts
Daily, weekly, or monthly transaction limits
Holding periods for newly acquired tokens
8. COMPLIANCE WITH LAWS
8.1 User Responsibility
You are solely responsible for complying with all applicable laws and regulations in your jurisdiction regarding the use of digital tokens like $VCON. These may include:

9.3 Your continued use of $VCON tokens after such changes constitutes your acceptance of the new Policy.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIRTUAL365 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
10.1 YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE $VCON TOKENS;
10.2 ANY CONDUCT OR CONTENT OF ANY THIRD PARTY RELATED TO $VCON TOKENS;
10.3 ANY CONTENT OBTAINED FROM THE PLATFORM; OR
10.4 UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
